COMPLETION OF SENIOR NOTES OFFERING

February 23, 2023, Chindata Group Holdings Limited (“Chindata Group”) (NASDAQ: CD) announced that it has completed the offering of U.S.$300,000,000 in aggregate principal amount of 10.500% senior notes due 2026 (the “Notes”). The Notes bear interest at a rate of 10.500% per annum and were issued at a price of 99.061% of the aggregate principal amount.

Chindata Group intends to use the net proceeds from the sale of the Notes for investment in data centers in the PRC and overseas, supplementing working capital and investment in research and development.

The Notes were offered and sold only outside the United States in offshore transactions in accordance with Regulation S under the Securities Act of 1933, as amended (the “Securities Act”), and have not been, and will not be, registered under the Securities Act.
